Terms of Service

These Terms of Service ("Terms") govern access to and use of the software products and services ("Services") provided by PVT Systems, LLC ("PVT Systems," "we," "us," or "our"), including the CRM Dashboard and the LLM Search Engine (each a "Product"). By accessing or using the Services, the customer ("Customer," "you") agrees to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

PVT Systems provides two Products, licensed together or separately as agreed in an order form, quote, or pilot agreement between PVT Systems and Customer:

CRM Dashboard: a customized, interconnected administrative dashboard covering functions such as sales, finance, and operations, configured to Customer's business needs.

LLM Search Engine: a document search and retrieval tool that runs on Customer's own infrastructure or a private, access-controlled deployment, allowing Customer to search and query uploaded documents using a locally-run language model.

Specific features, deployment method, and configuration for a given Customer will be described in a separate order form, statement of work, or pilot agreement, which is incorporated into these Terms by reference.

Customer may need to designate authorized users who will access the Services. Customer is responsible for maintaining the confidentiality of any login credentials and for all activity that occurs under its account. Customer agrees to notify PVT Systems promptly of any unauthorized use.

As between the parties, Customer retains all right, title, and interest in and to any data, documents, or content that Customer uploads to, stores in, or processes through the Services ("Customer Data").

The LLM Search Engine is designed to run fully offline / on Customer's own local or private infrastructure. PVT Systems does not access, view, collect, or store the content of Customer Data processed by the LLM Search Engine. Where remote access to a Customer's local deployment is enabled (for example, through a network tunneling or firewall service such as Cloudflare), that service is used solely to route network traffic to Customer's own environment and does not give PVT Systems visibility into Customer Data.

PVT Systems may collect limited account, configuration, usage, and billing information as described in our Privacy Policy.

Subject to these Terms and payment of applicable fees, PVT Systems grants Customer a non-exclusive, non-transferable, limited license to access and use the Products for Customer's internal business purposes during the applicable subscription or pilot term.

Customer agrees not to: (a) reverse engineer, decompile, or attempt to extract the source code of the Products, except as permitted by law; (b) resell, sublicense, or provide the Services to third parties outside Customer's own organization without PVT Systems' written consent; (c) use the Services for any unlawful purpose or in violation of applicable data protection laws; or (d) interfere with or disrupt the integrity of the Services.

Fees for the Services will be set out in an order form, quote, or pilot agreement. Unless otherwise agreed in writing, fees are billed on a recurring monthly basis and are due upon receipt of invoice or via automatic payment through Customer's designated payment method, processed by our third-party payment processor (currently Stripe).

Fees are non-refundable except as required by law or as otherwise agreed in writing. PVT Systems reserves the right to suspend access to the Services for accounts with overdue payments, following reasonable notice.

Customer is responsible for any applicable sales, use, or similar taxes associated with its purchase, other than taxes based on PVT Systems' net income.

Where Customer participates in a pilot or trial of the Services, the scope, duration, and any special pricing for that pilot will be set out in a separate pilot agreement. Upon completion of a pilot, continued use of the Services will be subject to a mutually agreed subscription arrangement.

These Terms remain in effect for as long as Customer uses the Services. Either party may terminate an applicable order form or pilot agreement as set out in that document, or, absent other terms, upon 30 days' written notice to the other party.

PVT Systems may suspend or terminate Customer's access immediately if Customer materially breaches these Terms and fails to cure such breach within a reasonable period after notice. Upon termination, Customer's right to access the Services ends, and Customer remains responsible for any fees incurred prior to termination.

PVT Systems will provide the Services in a professional and workmanlike manner. Except as expressly stated, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services. Each party's total liability arising out of or related to these Terms will not exceed the total fees paid or payable by Customer to PVT Systems in the twelve (12) months preceding the event giving rise to the claim.

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of a similar nature, and not to disclose such information to third parties except as necessary to perform its obligations under these Terms or as required by law.

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in New York.

PVT Systems may update these Terms from time to time. Material changes will be communicated to Customer in advance of taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
